1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between NPS.io, with registered office at C/ Estribor 44, 11039 Chiclana de la Frontera, Cádiz, Spain ("Company," "we," "us," or "our") and you ("Merchant," "you," or "your") regarding your use of our Shopify application and related services (collectively, the "Service").

By installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time in our sole discretion. Any changes will be effective immediately upon posting the revised Terms on our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

You represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Service Description

The Service provides customer satisfaction survey and Net Promoter Score (NPS) analytics functionality for Shopify merchants. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice or liability.

The Service may include:

  • Customer satisfaction survey system
  • Integration with the Shopify platform
  • Data collection and analytics
  • Merchant dashboard and reporting
  • Additional features and functionality as developed

We may introduce beta features from time to time, which are provided "as is" without warranty of any kind. We make no guarantees regarding the availability, reliability, or continued existence of any feature or functionality of the Service.

3. Pricing and Payment

Current pricing is available at https://www.nps.io/pricing. We reserve the right to modify pricing at any time without notice. Changes to recurring charges will be effective in the billing cycle following the change.

You agree to pay all fees associated with the Service in the currency specified. All payments are non-refundable unless explicitly stated otherwise. You are responsible for all applicable taxes.

If payment fails for any reason, we may immediately suspend or terminate your access to the Service. You agree to reimburse us for all collection costs and attorneys' fees incurred in collecting past due amounts.

4. Account Terms

You must maintain accurate, complete, and up-to-date account information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

Prohibited activities include but are not limited to:

  • Violating any applicable laws or regulations
  • Interfering with the Service's operation
  • Attempting to gain unauthorized access
  • Transmitting malicious code
  • Engaging in fraudulent activities

We may suspend or terminate your account at any time for any reason without notice. Upon termination, we may delete your account data without liability to you.

5. Service Level Agreement

The Service is provided "as is" without any guarantees regarding uptime, availability, or performance. We reserve the right to perform maintenance at any time without notice.

We are not liable for any service interruptions, delays, or downtime. No credit, refund, or compensation will be provided for any service interruption or unavailability.

6. Intellectual Property

All rights, title, and interest in the Service, including all intellectual property rights, are owned by us. You are granted a limited, non-exclusive, revocable license to use the Service in accordance with these Terms.

Any feedback you provide regarding the Service becomes our property and may be used without restriction or compensation.

You grant us a worldwide, royalty-free license to use, modify, and distribute any content you submit through the Service.

7. Data Usage and Privacy

Our Privacy Policy at https://www.nps.io/privacy-policy governs our collection and use of data. You agree that we may collect, use, and share data as described in the Privacy Policy.

We may use aggregated and anonymized data for any purpose. We make no guarantees regarding data accuracy, completeness, or retention.

8. Liability Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Service is provided "as is" without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Our maximum liability for any claims arising from these Terms or the Service shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

9. Merchant Obligations

You agree to:

  • Comply with all applicable laws and regulations
  • Obtain necessary consents from your customers
  • Maintain accurate account information
  • Use the Service in accordance with acceptable use policies
  • Respect API rate limits and usage restrictions
  • Implement reasonable security measures

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

  • All rights granted to you under these Terms will cease
  • You must cease all use of the Service
  • No refunds will be provided
  • We may delete your data without liability

11. Dispute Resolution

These Terms are governed by the laws of Spain, without regard to conflict of law principles.

Any dispute arising from these Terms shall be resolved exclusively in the courts of Córdoba, Spain. You consent to the personal jurisdiction of such courts.

You must commence any cause of action arising from these Terms within one year after the cause of action accrues.

12. Additional Terms

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
  • Assignment: We may assign these Terms without restriction. You may not assign your rights without our prior written consent.
  • Force Majeure: We are not liable for any failure to perform due to circumstances beyond our reasonable control.
  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver.
  • Survival: All provisions that should survive termination shall survive termination.
